3. User Obligations and Prohibited Activities

3.1 User Obligations

• Using the Website or Services for any fraudulent, misleading, or unlawful purpose
• Attempting to gain unauthorized access to any portion of the Website, other user accounts, or any systems or networks connected to the Website
• Transmitting any viruses, malware, ransomware, or other harmful code to or through the Website
• Using automated tools, bots, scrapers, or similar technologies to access, collect, or scrape data from the Website without our prior written consent

Subject to your compliance with these Terms, Pizzana grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and its Content solely for your personal, non-commercial use in connection with the Services. This license does not include any right to:

• Reproduce, modify, distribute, or create derivative works based on the Content
• Publicly display or perform any Content

5. Payment Terms

5.1 Pricing and Fees

5.2 Payment Methods

We accept payment through the payment methods displayed on our Website at the time of your order. By submitting an order with a payment method, you represent and warrant that you are authorized to use the designated payment method and authorize Pizzana to charge your payment method for the total amount of your order, including all applicable taxes and fees.

5.3 Order Confirmation and Billing

Your order is not confirmed until you receive an order confirmation from us. Payment for orders is processed at the time the order is placed. If your payment is declined or cannot be processed, your order will not be fulfilled, and we will notify you accordingly.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final. Refunds or credits may be issued at our sole discretion in cases where: (a) an order is not delivered or is significantly delayed due to circumstances within our control; (b) an order contains incorrect items or items that are not as described; or (c) food quality does not meet reasonable standards. Order cancellations may be accommodated if the cancellation request is received before the order has entered the preparation stage. Once food preparation has begun, cancellations and refunds may not be available.

5.5 Promotional Offers and Discount Codes

Promotional offers, discount codes, and special deals offered by Pizzana are subject to their own terms and conditions and may be revoked or modified at any time. Promotional offers cannot be combined with other offers unless expressly stated. Discount codes are single-use unless otherwise specified and may not be transferred, sold, or reproduced.

6. Disclaimers and "As-Is" Basis

Without limiting the foregoing, Pizzana does not warrant that:

• Any defects or errors in the Website will be corrected

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.

To the fullest extent permitted by applicable law, Pizzana's total aggregate liability to you for any claims arising out of or related to these Terms or your use of the Services shall not exceed the greater of: (a) the total amount paid by you to Pizzana in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred United States dollars ($100.00).

The limitations of liability set forth in this Section shall apply regardless of the form of action, whether based in contract, tort (including negligence), strict liability, or any other legal or equitable theory, even if such remedy fails of its essential purpose. These limitations reflect a fair allocation of risk between you and Pizzana, and Pizzana would not enter into this Agreement without these limitations.

8. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pizzana and its respective officers, directors, employees, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of or access to the Website or Services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including but not limited to intellectual property rights or privacy rights
• Any content or information you submit, post, or transmit through the Website
• Your negligent or intentional misconduct
• Any fraud or misrepresentation committed by you in connection with the Services

Pizzana reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Pizzana. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Pizzana's principal place of business is located, without regard to conflict of law principles.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Pizzana agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in the United States for the purpose of litigating all such disputes. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, Pizzana may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

If you are a California resident, certain additional rights may apply to you under the California Consumer Privacy Act (CCPA/CPRA) and other California consumer protection laws. Please refer to our Privacy Policy for more information about your California privacy rights.

Our Services are provided from and operated within the United States. We make no representation that the Services are appropriate or available for use in other locations. Those who choose to access the Services from other locations do so at their own initiative and are solely responsible for compliance with applicable local laws.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Pizzana at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. You and Pizzana agree to attempt to resolve any dispute informally for a period of thirty (30) days from the date of the written notice. If the dispute is not resolved within this thirty (30) day period, either party may proceed with formal dispute resolution as outlined below.

10.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT AND CLAIMS FOR INJUNCTIVE OR OTHER EQUITABLE RELIEF TO PROTECT INTELLECTUAL PROPERTY RIGHTS, YOU AND PIZZANA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR TO THE USE OF THE SERVICES, WILL BE RESOLVED SOLELY BY BINDING ARBITRATION.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration will be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Pizzana agree that the arbitrator shall have the authority to award any remedies, including monetary damages and injunctive relief, that a court of competent jurisdiction could award. The arbitrator shall not have the authority to award punitive damages, except where permitted by statute.

10.3 Class Action Waiver

YOU AND PIZZANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Pizzana agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Opt-Out Right

You have the right to opt out of binding arbitration within thirty (30) days of the date you first agreed to these Terms by sending a written notice to [email protected] with the subject line "Arbitration Opt-Out." Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out of arbitration, all disputes will be resolved through litigation in courts of competent jurisdiction as outlined in Section 9.

11. Term and Termination

These Terms shall remain in full force and effect while you use the Website or Services. Pizzana reserves the right, in its sole discretion, to:

• Suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice
• Refuse service to any person or entity at any time, for any reason consistent with applicable law
• Delete or deactivate any account that has been inactive for an extended period of time

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination of your account, your right to use the Services will immediately cease.

Upon termination of your account or these Terms for any reason:

• Your license to use the Website and Services is immediately revoked
• Pizzana may retain certain information as required by law or for legitimate business purposes
• All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership and intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability

Termination of these Terms does not relieve you of any obligations to pay any amounts owed to Pizzana prior to termination, nor does it limit any liability you may have for violations of these Terms that occurred prior to termination.

Pizzana reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Pizzana shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions, civil unrest, labor disputes, supply chain disruptions, power outages, telecommunications failures, or any other event of force majeure.

In the event of a force majeure, Pizzana will use commercially reasonable efforts to resume performance as soon as practicable. During a force majeure event, your obligation to pay for orders that have already been prepared and are ready for pickup or delivery remains in effect, unless the inability to fulfill the order is directly caused by the force majeure event.

17. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be deemed deleted from these Terms.

The invalidity, illegality, or unenforceability of any provision of these Terms shall not affect the validity, legality, or enforceability of any other provision of these Terms, which shall remain in full force and effect. These Terms shall be construed as if the invalid, illegal, or unenforceable provision had never been included.

Any failure by Pizzana to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any right or provision will be effective only if in writing and signed by an authorized representative of Pizzana.
